About the audit committee

In accordance with the Transparency Decree and the regulations of the Argentine Securities and Exchange Commission (CNV), Argentine companies whose shares are publicly traded must appoint an Audit Committee composed of no fewer than three Board members, the majority of whom must be independent, as defined by CNV regulations. According to the company's bylaws, one Independent Director is appointed by the holders of Class A shares and the other by the holders of Class B shares.

The main responsibilities of the audit committee include:

  • Overseeing the company’s internal control and accounting administrative systems.

  • Monitoring the implementation of policies related to the disclosure of the company’s risk management practices.

  • Providing the market with comprehensive information regarding transactions involving conflicts of interest between the company and its directors or controlling shareholders.

  • Issuing opinions on related-party transactions and monitoring and reporting any potential conflicts of interest to regulatory authorities.
